The BRIXMIS Association Constitution


1.   The Association shall be called 'The BRIXMIS Association'. The BRIXMIS Association is a non-profit making organisation.


2.   The objects of the Association shall be:


To promote good fellowship and social contact between members of the Association by organising and/or assisting in social gatherings at national level and locally from time to time as may be desired.


To enable members to keep in contact by occasionally publishing membership lists with addresses as may be convenient and practicable.


To discover, preserve and promote the history and activities of the Mission for the future.


3.   Membership of The BRIXMIS Association shall be composed of the following classes:


Ordinary Members. All ranks of British and Commonwealth Services who have served on the posted strength of the Mission.


Honorary Members. Persons who have rendered very special service to the Mission and wives of deceased members, will be eligible for Honorary membership of the Association. They are recommended and elected at the Annual General Meeting (AGM).


Associate Members. Former members of USMLM and FMLM will be eligible for Associate membership on the recommendation of Ordinary Members.


4.   The Office Bearers shall be:
 
President.   A distinguished former Chief or Deputy Chief of Mission.
 
Chairman.   A former Chief or Deputy Chief of Mission, or a suitable member of the Association proposed by the Committee and duly elected at the AGM.
 
Honorary Secretary and Treasurer.   A former officer of the Mission below the rank of Colonel/Group Captain.


5.   The management of The BRIXMIS Association


Will be vested in a Committee consisting of the Chairman, Hon. Secretary and Treasurer, together with not more than eight other members.  All of the Committee members shall be elected each year at the AGM of the Association. Two members should have served in the Mission as WOs/NCOs/Junior Ranks and at least two members should be RAF/ex-RAF. In the event of a vacancy on the Committee arising between AGMs, the rest of the Committee shall have the power to co-opt a member to fill such a vacancy until the next AGM. Four members of the Committee shall form a quorum for voting purposes.  At all meetings of The BRIXMIS Association and of the Committee, the Chairman of such meetings shall have an additional or casting vote in cases of equality in voting on any matter.


6.   Annual General Meeting (AGM)


An AGM shall be held in October each year and at least 21 days clear notice in writing thereof shall be given to members of the Association. Fifteen members of the Association shall form a quorum for voting purposes.


7.   Extraordinary General Meeting (EGM)


An EGM may be convened by the Committee at any time. Notification must be received by the Secretary at least 28 days prior to the date of the meeting, with a requisition signed by at least ten Ordinary Members stating the business to be discussed at such a meeting.  The notice to be given to members and the quorum in respect of an EGM shall be the same as for an AGM. The notice for the EGM shall state the business to be transacted and no other business which has not been notified shall be competent.


8.   There will be no annual subscription for the Association


However, there will be a one-time life membership fee of £5, which may be varied on the authority of an AGM. Honorary and Associate members will be invited to pay the same fee on election to The BRIXMIS Association.  Office holders and Committee members shall not receive any remuneration.  The accounts covering the year to 30th September shall be audited annually by an auditor appointed by the Committee and shall be submitted for approval at the next AGM following this date.


9.   Alterations to the Constitution of The BRIXMIS Association


Shall be made only by a resolution passed at an AGM, at least 21 days notice having been given to members in writing, provided that such a resolution is passed by a majority of not less than two thirds of the members present and voting.


10.   Any matter not specifically provided for in the Constitution shall be decided by the Committee.
